Terms and Conditions

1. Scope of Work

Stackful Ltd ("STCK") will deliver the services described in the agreed project proposal. Any changes or additions beyond the original scope may incur additional charges, which will only proceed after written Client approval.

2. Service Delivery

Services may be provided by STCK staff or approved subcontractors. Work is typically carried out remotely or at STCK’s premises. Business hours are Monday–Friday, 9am–5pm (UK), excluding public holidays.

3. Payment

Invoices are issued at agreed milestones and must be paid within 14 days. Late payments over 30 days may incur a £75 late fee plus interest at the Bank of England base rate.

4. Subcontractors

STCK remains responsible for managing subcontractors involved in the project, all of whom are bound by confidentiality obligations.

5. Project Performance

STCK will perform services with reasonable skill and care. Timelines may change if the scope is amended or if external circumstances affect delivery. Any additional costs arising from such changes will be the Client’s responsibility.

6. On-Site Work

When providing services at the Client’s premises, STCK will comply with all applicable Client policies, including health and safety and security requirements.

7. Termination

Either party may terminate this Agreement with 30 days’ written notice. Immediate termination is permitted in the event of a material breach. Upon termination, STCK will invoice for completed work, payable immediately.

8. Confidentiality

Both parties agree to maintain the confidentiality of shared information during and after the Agreement. On termination, STCK will return all Client-owned materials.

9. Ownership

All deliverables produced under this Agreement become the Client’s property once full payment has been made.

10. Liability & Insurance

Neither party will be liable for indirect or consequential losses except where liability cannot legally be excluded. STCK maintains appropriate professional indemnity insurance.

11. Force Majeure

Neither party is liable for delays caused by events outside reasonable control. If such an event continues for more than 30 days, either party may terminate the Agreement.

12. Governing Law

This Agreement is governed by the laws of England and Wales. Disputes will be handled by the courts of England and Wales.
